How to Structure Freelance Contracts under Saudi Regulations

For freelance designers, developers and agency owners in Saudi Arabia, a clear contract is your greatest protection. Yet many freelancers sign agreements that are incomplete or out of step with local regulations, and that can cost them their rights.

Here is a practical guide to structuring a complete freelance agreement that fits Saudi regulations.

1. Include your Freelance Document (وثيقة العمل الحر) details

To freelance legally in Saudi Arabia, you need a Freelance Document (وثيقة العمل الحر) from the Ministry of Human Resources and Social Development. State your document number and category in the opening of the contract: it reassures your client that they are working with a registered freelancer.

2. Define the scope of work (SOW) precisely

Vague phrases like "designing a website" are a recipe for scope creep. Break the deliverables down into concrete, measurable items:

• Design of 5 unique pages
• Development of a responsive Next.js frontend
• Integration of 3 external APIs
• Up to 2 rounds of revisions

This makes it easy to tell agreed work from extra requests, which you can then price separately.

3. Specify intellectual property (IP) transfer conditions

A common pitfall is handing over source files and code before receiving full payment. Your contract should include a payment-conditional IP transfer clause:

"Intellectual property and copyright in all deliverables transfer to the client upon receipt of full and final payment. The freelancer or agency retains all rights and source files until the outstanding amounts are settled."

4. Set the governing law and how disputes are resolved

Specify that the agreement is governed by the laws of the Kingdom of Saudi Arabia, that both parties will first try to settle any dispute amicably, and that unresolved disputes are referred to the competent courts in the Kingdom.
